1About Mainleey

Mainleey provides technology that connects customers with participating merchants through rewards, points, offers, customer engagement tools, and related services.

Mainleey is a technology platform. Unless expressly stated otherwise, Mainleey is not the seller of products or services offered by participating merchants.

When you purchase something from a merchant, the transaction is between you and that merchant.

2Eligibility

You may use Mainleey only if you are legally permitted to enter into these Terms under the laws applicable to you.

If you are using Mainleey on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

3Your Account

Some Mainleey features require an account. You agree to:

• Provide accurate and current information
• Keep your account information up to date
• Protect your login credentials
• Not share your account with another person
• Notify us if you believe your account has been compromised
• Be responsible for activity occurring through your account

You may not create an account using another person's identity or information.

4Rewards and Points

Mainleey may allow users to earn, hold, redeem, or otherwise interact with points and rewards offered by participating merchants. Points and rewards:

• Are promotional benefits and are not cash
• Have no cash value unless expressly stated otherwise
• May only be earned or redeemed according to the applicable merchant's rules
• May expire or be subject to other restrictions disclosed by the merchant
• May not be sold, transferred, or exchanged unless Mainleey or the applicable merchant expressly permits it

The number of points earned from a transaction may depend on the products or services purchased, promotional rules, merchant rules, or other conditions.

Mainleey may correct, adjust, or reverse points when we reasonably determine that points were awarded incorrectly, obtained fraudulently, or resulted from an error.

5Merchant Transactions

Mainleey may receive or process information about transactions between customers and participating merchants. Mainleey does not guarantee:

• The availability of any product or service
• The quality of a merchant's products or services
• The accuracy of merchant-provided information
• That a particular offer or reward will remain available
• That every transaction will qualify for points

Any dispute regarding a product, service, purchase, refund, return, or merchant experience should generally be directed to the merchant involved.

6Merchant Responsibilities

If you use Mainleey as a merchant, you agree to:

• Provide accurate business information
• Have appropriate authority to operate the business account
• Comply with applicable laws and regulations
• Obtain any permissions or consents required to provide customer information to Mainleey
• Use customer information only for legitimate purposes
• Respect customer privacy and applicable privacy laws
• Maintain appropriate security for your account and systems
• Not misuse Mainleey customer data
• Not use Mainleey to send unlawful, deceptive, abusive, or misleading communications
• Provide accurate information about your products, services, offers, and rewards

Merchants are responsible for the products and services they provide to customers.

7Acceptable Use

You agree not to:

• Use Mainleey for unlawful purposes
• Attempt to gain unauthorized access to another account
• Create fraudulent accounts
• Manipulate transactions or rewards
• Artificially generate points, referrals, visits, purchases, or other activity
• Submit false information
• Impersonate another person or business
• Interfere with the operation or security of Mainleey
• Reverse engineer or attempt to extract source code from the Services except where permitted by law
• Scrape or systematically collect information from Mainleey without permission
• Upload malicious code or harmful content
• Abuse promotions or rewards
• Use Mainleey in a manner that could harm other users, merchants, or the platform

We may investigate suspected violations and take appropriate action.

8User Content

You may be able to upload or submit content to Mainleey, including photos, reviews, business information, comments, or other material ("User Content").

You retain ownership of User Content that you own.

By submitting User Content, you grant Mainleey a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and use that content as reasonably necessary to operate, promote, and improve the Services.

You represent that you have the necessary rights and permissions to submit the User Content.

We may remove User Content that violates these Terms, applicable law, or our policies.

9Intellectual Property

The Mainleey Services, including our software, branding, logos, designs, text, graphics, interfaces, and other content provided by Mainleey, are owned by or licensed to Mainleey and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Mainleey Services or our intellectual property.

10Promotions and Offers

Merchants may create promotions, offers, rewards, or other incentives through Mainleey. Each promotion may have additional conditions, including:

• Eligibility requirements
• Expiration dates
• Purchase requirements
• Redemption limits
• Product restrictions
• Geographic restrictions

Those conditions will apply in addition to these Terms.

Mainleey may modify, suspend, or terminate a promotion where reasonably necessary, subject to applicable law and any specific commitments made to users.

11Fees and Payments

Certain Mainleey services may require payment.

For merchants, applicable pricing, subscription fees, transaction fees, or other charges will be disclosed through the applicable merchant agreement, order form, pricing page, or checkout process.

Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed by Mainleey.

12Third-Party Services

Mainleey may integrate with third-party services, including payment providers, point-of-sale systems, communication providers, analytics platforms, and other technology providers.

Your use of third-party services may be subject to their own terms and policies.

Mainleey is not responsible for third-party services that we do not control.

13Availability and Changes to the Services

We work to keep Mainleey available and reliable, but we do not guarantee that the Services will always be uninterrupted, secure, or error-free.

We may modify, suspend, or discontinue parts of the Services from time to time.

We may also introduce new features or remove existing features.

14Account Suspension and Termination

You may stop using Mainleey at any time.

We may suspend or terminate an account if:

• You violate these Terms
• We reasonably suspect fraud or abuse
• Your use creates a security or legal risk
• You provide false or misleading information
• We are required to do so by law
• We discontinue the applicable Service

Where appropriate, we may provide notice before taking action.

Termination does not eliminate obligations that are intended to survive termination.

15Disclaimers

To the extent permitted by law, Mainleey provides the Services on an "as available" basis. We do not guarantee that:

• The Services will always be available
• Information provided through the Services will always be complete or error-free
• Every merchant, offer, product, transaction, or reward will be available
• Points or rewards will never be affected by technical errors, fraud, or system issues

Nothing in these Terms excludes rights or protections that cannot legally be excluded under applicable law.

16Limitation of Liability

To the maximum extent permitted by applicable law, Mainleey will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Nothing in these Terms limits liability where such limitation is prohibited by law.

17Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Mainleey and its officers, directors, employees, and service providers harmless from claims, losses, liabilities, damages, and expenses arising from:

• Your violation of these Terms
• Your unlawful use of the Services
• Your User Content
• Your violation of another person's rights
• A merchant's violation of applicable law or its obligations to customers

18Governing Law

These Terms are governed by the laws of the province and jurisdiction in Canada specified by Mainleey in the applicable business or customer agreement, without regard to conflict-of-law principles.

If no specific jurisdiction is identified, these Terms will be governed by the laws applicable in the province in which Mainleey's principal Canadian office is located.

Mandatory consumer protection laws applicable to you continue to apply.

19Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will provide reasonable notice where required by law.

Your continued use of Mainleey after the updated Terms become effective means that you accept the updated Terms.
